1. Introduction
These Terms of Service govern access to and use of Saudi Tradex, a B2B technology marketplace connecting buyers with suppliers and factories, especially Saudi manufacturers and industrial suppliers.
By creating an account or using the platform, you agree to these Terms and the applicable public policies in the Legal Center, which are incorporated by reference into these Terms, including the Privacy Policy, Cookie Policy, Acceptable Use Policy, Supplier Agreement, Buyer Terms, Intellectual Property Policy, Dispute & Refund Policy, Verification & KYC Policy, Data Retention & Deletion Policy, Security & Responsible Disclosure Policy, Content Moderation Policy, and DMCA / IP Complaint Process.
2. Definitions
- Platform: Saudi Tradex website, applications, APIs, dashboards, and related services.
- Operator: the legal entity operating Saudi Tradex.
- Buyer: a user seeking products, quotations, invoices, or business communications with suppliers.
- Supplier: a factory, manufacturer, distributor, seller, or business account using the platform to present products, receive RFQs, issue quotes, accept orders, or communicate with buyers.
- Factory: a supplier-managed business profile/workspace.
- RFQ: request for quotation created by a buyer or supplier acting as buyer.
- Quote: supplier response to an RFQ.
- Order: transaction workflow created from accepted quote or purchase intent.
- Invoice: billing document issued or received through the platform.
- Verified Supplier: supplier/factory that passed a platform review process based on submitted information.
- Content: listings, text, images, RFQs, files, messages, documents, logos, reviews, and any uploaded material.
- Account: user identity and associated permissions.
3. Platform role
Saudi Tradex is a technology intermediary. Unless expressly stated otherwise in writing, Saudi Tradex is not:
- a manufacturer of listed goods;
- an owner of goods;
- a seller of supplier goods;
- a logistics provider;
- a tax, legal, engineering, or quality-certification advisor;
- a guarantor of supplier performance.
Buyers and suppliers are responsible for their own contracts, compliance, product specifications, payments, shipping, warranties, taxes, and legal obligations.
4. Eligibility and account creation
You must have legal capacity to enter into binding agreements. If you use the platform on behalf of a company, factory, or organization, you represent that you are authorized to do so.
You agree to:
- provide accurate and current information;
- protect your login credentials;
- maintain valid email and phone verification where required;
- not impersonate others;
- not create accounts to evade suspension or abuse limits;
- promptly update inaccurate account information.
5. Account types and permissions
The platform may provide different access levels, including Buyer, Supplier, Factory Member, and Admin permissions. Access to certain features may depend on verification status, role permissions, account standing, payment status, or platform review.
The Operator may add, remove, suspend, or modify permissions when needed for security, compliance, abuse prevention, or platform operations.
6. Marketplace rules
Users must not:
- commit fraud, misrepresentation, or deceptive business practices;
- upload malware or harmful files;
- spam users or create fake RFQs;
- scrape or misuse data;
- attempt unauthorized access or security testing without permission;
- bypass platform workflows to avoid fees, audit controls, or safety processes;
- sell illegal, restricted, counterfeit, unsafe, infringing, or prohibited goods;
- misuse messaging, RFQs, reviews, reports, or attachments.
7. Supplier verification
Supplier verification is based on information and documents provided to the platform and internal review procedures. Verification:
- does not guarantee product quality;
- does not guarantee supplier solvency;
- does not guarantee delivery performance;
- may be revoked or changed;
- may require updated documents.
The Operator may reject, suspend, or request additional verification information at any time.
8. RFQs, files, and confidentiality
RFQs may be visible to matching suppliers. Public RFQ attachments should contain general, non-confidential reference information only.
Do not upload confidential manufacturing drawings, proprietary specifications, CAD files, trade secrets, or sensitive business documents in public RFQs. Use private supplier conversations for sensitive negotiation materials, and apply your own confidentiality agreements where necessary.
The platform is not responsible for a user voluntarily uploading confidential content to a public or semi-public workflow.
9. Orders, invoices, payments, taxes
Orders, quotes, and invoices are created between users. Unless Saudi Tradex expressly acts as merchant of record, payment processor, escrow provider, or seller in a specific transaction, users remain responsible for:
- pricing and specifications;
- taxes, VAT, customs, and invoices;
- payment terms;
- delivery and acceptance;
- product warranties and compliance.
The platform may provide workflow tools, invoice tools, status tracking, and audit records without becoming a party to the underlying commercial sale.
10. Reviews, reports, and moderation
The Operator may moderate content, listings, messages, RFQs, reviews, disputes, and accounts. Moderation may include warnings, hiding content, suspending features, requesting documents, or terminating accounts.
Users may report abuse, prohibited goods, IP violations, fraud, unsafe products, or suspicious behavior.
11. Intellectual property
Saudi Tradex owns its brand, logo, design, software, code, interfaces, documentation, and platform materials. Users retain rights in their own uploaded business content but grant the Operator a limited license to host, process, display, transmit, moderate, and use that content for platform operation.
Users must have all rights required to upload their content.
12. Account closure and suspension
The Operator may suspend, restrict, or deactivate accounts for legal, security, fraud, risk, verification, or policy reasons.
If a user self-closes an account:
- the account may remain archived for audit, legal, fraud-prevention, and transaction history;
- active email/phone identifiers may be released for reuse;
- original contact identifiers may be retained internally for traceability;
- self-closed accounts are terminal and may not be reactivated.
Open orders, invoices, disputes, investigations, or legal obligations may continue after account closure.
13. Privacy and data protection
Personal data is handled according to the Privacy Policy and applicable Saudi data protection requirements. Users must not upload personal data of third parties unless they have lawful authority to do so.
14. Service availability
The platform may be unavailable due to maintenance, provider outage, security incident, infrastructure failure, or other reasons. The Operator will make reasonable efforts to maintain reliable service but does not guarantee uninterrupted access.
15. Limitation of liability
To the maximum extent permitted by applicable law, the Operator is not liable for:
- indirect, incidental, special, punitive, or consequential losses;
- lost profits, lost business, lost data, reputational harm, or opportunity loss;
- supplier quality failures, delivery delays, or buyer/supplier disputes;
- user-uploaded content or third-party services;
- unauthorized access caused by user negligence or third-party compromise.
This does not exclude liability that cannot be excluded under applicable law.
16. Indemnity
Users agree to indemnify the Operator from claims, losses, fines, costs, or damages arising from their breach of these Terms, illegal conduct, uploaded content, transactions, product claims, tax obligations, IP violations, or misuse of the platform.
17. Updates
The Operator may update these Terms. Material changes will be communicated through reasonable means. Continued use after changes means acceptance.
18. Governing law
These Terms are governed by the laws and regulations of the Kingdom of Saudi Arabia. Disputes will be handled by the competent courts or legally recognized dispute forum in Saudi Arabia, unless a specific mandatory procedure applies.
