Supplier Agreement
Supplier and factory responsibilities when listing products and responding to buyers.
Supplier Agreement — Saudi Tradex
Effective date: May 18, 2026
This Supplier Agreement applies to suppliers, factories, manufacturer representatives, and business users who create supplier/factory profiles, list products, respond to RFQs, issue quotes, accept orders, or communicate with buyers through Saudi Tradex.
1. Supplier responsibility
Suppliers are responsible for:
- accuracy of company/factory information;
- product descriptions, images, specifications, prices, availability, and lead times;
- legal compliance of listed goods;
- product quality and conformity;
- shipping, delivery, warranties, and after-sales obligations agreed with buyers;
- taxes, VAT, customs, and invoices where applicable.
Saudi Tradex provides technology tools and marketplace access; it does not manufacture or own supplier goods.
2. Verification
Supplier verification may require documents, licenses, business records, factory information, or other evidence. Verification is not a guarantee of quality or performance. The platform may reject, suspend, re-check, or revoke verification.
3. Listings and product content
Suppliers must ensure listings are:
- accurate and not misleading;
- not counterfeit;
- not infringing IP rights;
- not prohibited, unsafe, illegal, or restricted;
- updated when price, availability, or specifications change.
4. RFQs and quotes
Suppliers must respond honestly to RFQs and quotes. Quotes should identify:
- price;
- quantity/tiers;
- delivery terms;
- validity period;
- applicable taxes/fees;
- technical assumptions and exclusions.
5. Anti-circumvention
Suppliers must not use Saudi Tradex to identify buyers and then bypass platform workflows where the platform has a legitimate commercial or safety interest in keeping the transaction, communication, or audit trail on-platform.
6. Communications
Suppliers must not:
- spam buyers;
- pressure users to leave the platform;
- request sensitive information unnecessarily;
- upload malware or unsafe attachments;
- harass or mislead buyers.
7. Confidential information
If buyers share confidential information in private conversations, suppliers must handle it responsibly and must not misuse or disclose it. Users should use separate NDAs for high-value or sensitive manufacturing negotiations.
8. Orders, invoices, delivery
Suppliers remain responsible for performance under their quotes, orders, invoices, warranties, delivery terms, and applicable laws.
9. Taxes and compliance
Suppliers are responsible for their own VAT, tax, customs, import/export, product safety, labeling, licensing, and sector-specific obligations.
10. Suspension
Saudi Tradex may suspend supplier features, hide listings, revoke verification, or terminate access for fraud, repeated complaints, unsafe products, policy violations, IP infringement, illegal conduct, or risk to users.
11. Relationship
No agency, partnership, franchise, employment, or joint venture relationship is created by this Agreement.
